DOBiz Smart ERP Enterprise Signup — Applicant Agreement, Consent & Legal Terms. This agreement is entered into freely between you (the Applicant) and Biz Technology Solutions (the Provider) in the spirit of honesty, integrity and fair dealing — before God and man. It is founded, in order of authority, upon: (1) God's revealed law, as taught by the Qur'an (with its blessed elucidation in the Hadith), the Gospel, the Torah and the Psalms — the eternal standard of truth, justice and mercy; (2) the national law of the Federal Democratic Republic of Ethiopia; and (3) applicable international law. Every term herein, including the privacy and data-protection rules, is subordinate to, and shall never violate, the Word of God as revealed in the Qur'an, Hadith, Gospel, Torah and Psalms; then the laws of Ethiopia; and then international law, in that order.
1. Divine & Moral Law — First in Authority
The parties acknowledge that the Word of God is the supreme and first authority in all human dealings. Accordingly, this Agreement and every obligation arising under it shall be performed in accordance with God's revealed law as set out in the Qur'an and the Hadith (the Prophet's teachings, peace be upon him), the Gospel, the Torah and the Psalms. All parties therefore covenant to transact with truthfulness, trustworthiness, honesty and justice; to honour every promise and lawful contract; to deal in fair weights, measures and prices; to avoid fraud, deception, usury, exploitation, oppression and unjust enrichment; to render unto every person his due; and to treat every person with dignity and respect. Wherever any national or international law, rule, term or practice conflicts with God's revealed law as set out in those Scriptures, God's law prevails in this Agreement. No provision of Ethiopian or international law is incorporated or relied upon in a manner contrary to the Qur'an, Hadith, Gospel, Torah or Psalms.
2. Legal Capacity & Truthfulness of Information
The Applicant declares being at least eighteen (18) years of age, lawfully authorized to act for the enterprise, and that all information submitted is true, complete and not misleading. Knowingly false or incomplete information may render this Agreement voidable and expose the Applicant to liability under applicable law (FDRE Constitution, Articles 9 & 13; Commercial Code Proclamation No. 1243/2021).
3. Consent to Data Processing & Privacy — No Use Without Basis, Privacy Respected at All Times
By proceeding, the Applicant freely and expressly consents to the collection, processing, storage and use of the personal and business data provided (names, contacts, company details, subscription and payment records) for lawful purposes: account provisioning, billing and invoicing, service operation and support, legal and regulatory compliance (including taxation, financial crime prevention and record-keeping), and — only with separate, specific consent — direct marketing. No information whatsoever shall be collected, used, disclosed, sold or retained except lawfully and for these stated and objectively necessary purposes; and the Applicant's privacy rights shall be respected at all times and under all laws. The sole exception to restrictions on use — and only to the extent permitted by law — is information that its owner has him- or herself published to the public; such public information may be used lawfully, but even then never in a manner that violates God's revealed law, Ethiopian national law or international law, or that misuses the data beyond its public scope. These privacy rules, and all handling of personal data under this Agreement, are first and always subordinate to God's revealed law in the Qur'an, Hadith, Gospel, Torah and Psalms — the sanctity of the person, the protection of trust and confidentiality, and the prohibition of harming others — and shall never violate that law; then to Ethiopian national law (the Data Protection Proclamation No. 1321/2024 and the constitutional rights to privacy and to the honour and dignity of the person, FDRE Constitution, Articles 24, 25 & 26); and then to applicable international standards — in that order. The Applicant may exercise rights of access, rectification, erasure, restriction and objection, and may withdraw consent as permitted by law without prejudice to lawful mandatory retention.
4. Lawful Use & Prohibited Activities
The Applicant shall use the service lawfully and shall not use it for any fraudulent, illegal or harmful purpose — including but not limited to money laundering or terrorist financing; computer crime or unlawful system interference (Computer Crime Proclamation No. 958/2016); infringement of intellectual property; harassment or defamation; or any conduct violating Ethiopian or international law. Electronic transactions made hereunder shall carry the legal force and effect recognized under the Electronic Transactions Proclamation (Proclamation No. 1205/2020).
5. Payments, Taxes & Settlement
All subscription fees, invoices and settlement instructions are governed by the terms displayed, applicable tax legislation (including value-added tax and income tax proclamations), and the lawful directives of the National Bank of Ethiopia concerning payments. The Applicant remains responsible for the accuracy of payment details and for any legitimate taxes arising from its operations.
6. Consumer Protection & Fair Dealing
The parties conduct business in good faith and in accordance with fair trade and consumer-protection standards (Trade Practice and Consumers' Protection Proclamation No. 685/2010), avoiding misleading conduct, unfair conditions and abuse of position.
7. International Law & Human Rights
To the extent they do not conflict with God's revealed law or with the national law of Ethiopia, this Agreement is to be performed and construed in a manner consistent with the international instruments to which Ethiopia is a party, including the Universal Declaration of Human Rights, the International Covenant on Civil and Political Rights, the International Covenant on Economic, Social and Cultural Rights, the African Charter on Human and Peoples' Rights, the Convention on the Rights of the Child, and as incorporated by Article 9(3) of the FDRE Constitution. Nothing herein waives any fundamental right or freedom guaranteed by Chapter Three of the Constitution.
8. Governing Law, Jurisdiction & Disputes
This Agreement is governed, first, by God's revealed law as set out in the Qur'an, Hadith, Gospel, Torah and Psalms; second, by the laws of the Federal Democratic Republic of Ethiopia; and third, by applicable international law, in that order of precedence. The parties first seek amicable resolution of any dispute in good faith; failing which, disputes shall be resolved by the competent Federal Courts of Ethiopia in Addis Ababa within the limits of national law, which shall be interpreted and applied in a manner that does not violate God's law as revealed in the Scriptures. Nothing in this clause removes or restricts any right to lawful remedies under applicable law.
9. Severability & Entire Agreement
If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Agreement, together with the displayed Terms of Service and Privacy Notice, constitutes the entire agreement between the parties, subject only to amendments lawfully issued by the Provider and communicated to the Applicant.
